Resolution
The firm represents
clients in a wide range of civil disputes, and specializes in representing
corporate, insurance and financial services firms in banking, insurance,
accounting and other complex financial litigation. As regional, national and
international counsel for a number of clients, including Fortune 500 companies,
the firm’s lawyers are admitted in federal and state trial and appellate
courts in the mid-Atlantic Region, including the District of Columbia, Maryland,
and Virginia, and have appeared in court in numerous states throughout the
country. The firm routinely coordinates with local counsel in New
York, Chicago, Philadelphia, Miami, Dallas, Denver, Los Angeles, London, Paris, Moscow and
elsewhere. The firm recognizes that it is
often not cost-efficient to resolve disputes through litigation. In such
cases, we seek to advance our clients’ interests through mediation and
arbitration.

Corporate
The firm assists clients ranging from
privately-held start-ups to Fortune 500 and large foreign companies in
establishing corporations and other business entities, corporate governance,
mergers, acquisitions and
divestitures, equipment leasing, project finance, financing transactions, joint
ventures, licensing software and technology, and negotiating domestic and
international sales, technology, and vendor contracts. The firm also counsels
clients on a wide range of commercial, employment, distributorship, regulatory
and compliance issues.
The firm recognizes and services the special
needs and capabilities of start-up and more established companies in the
fields of Information Technology, the Internet, and e-commerce. We provide
counseling for emerging businesses on a wide variety of commercial,
intellectual property, employment, marketing and business practice matters,
including advice concerning choice of entity, protecting trademarks, trade
secrets and proprietary technology, hiring staff and contractors, and
complying with legal requirements regarding the Internet.

International
The firm represents domestic clients doing business
abroad, foreign clients doing business in the United States, and clients
involved in domestic, foreign or cross-border litigation. Our lawyers also have broad experience in
international arbitration, international distribution arrangements,
international joint ventures, international acquisitions, overseas project
finance, export transactions and regulation, foreign asset controls, foreign
claims settlement, Foreign Corrupt Practices Act and Foreign Sovereign
Immunities Act, and U.S. regulation of foreign banks.
The firm is able to coordinate with attorneys
in its affiliated firm in Germany and in other countries or to recommend local
counsel to its clients on the basis for prior working relationships. Its lawyers
are fluent or conversant in several languages including German, French, Russian,
Spanish, Italian, Scandinavian dialects, Arabic, Mandarin and Cantonese.
Germany/Europe:
The firm is affiliated with Kümmerlein, Simon & Partner, a
highly regarded mid-sized law firm in Essen, Germany. Kümmerlein possesses recognized
experience in mergers and acquisitions, corporate, banking, tax, antitrust,
nuclear energy, administrative and international law, as well as in commercial,
insurance, intellectual property, products liability and telecommunications
matters. It has long-established relationships with several large German
multinationals, and assists clients doing business throughout the European
Union, Eastern Europe, North America, and the Pacific Rim. With Kümmerlein, the
firm is well equipped to provide advice and assistance on questions involving
German and European Union law
Russia/Former Soviet Republics:
The firm assists clients engaged in exports to and investment in Russia and
other former Soviet republics. Our attorneys have been active in advising clients on structuring their business operations in Russia,
Ukraine and Kazakhstan and have direct experience assisting clients working in emerging markets.
The firm also advises Russian-American clients conducting business in
the U.S., particularly those active in high technology.

Regulatory/Government
Relations
The firm represents aviation, banking
and other clients in administrative and regulatory matters, including before
the Departments of Commerce, State, Transportation and Treasury, as well as
the Federal Reserve and various federal bank regulators. Firm attorneys also
have served as legislative counsel for an international airline, commercial
and investment banks, and a financial trade association.
Firm
attorneys assist and advise clients in the area of international trade,
including customs, export and foreign asset controls. The firm also represents
clients in intellectual property matters, including trademarks, copyright,
infringement, trade secrets.
