Mr. Menard has represented public and privately-owned companies, and assisted companies in all stages of development, including start-ups and Fortune 500 companies, particularly in the internet and high tech industries.  

He has broad experience in a wide range of corporate and commercial matters, including mergers and acquisitions, corporate finance, transactions, governance, and securities law.

Mr. Menard also focuses on international commercial matters, including offshore investments and the Foreign Corrupt Practices Act.

  • Represented internet sports company in corporate restructuring and raising capital

  • Counseled and defended clients for alleged violations of the Foreign Corrupt Practices Act

  • Advised publicly traded companies regarding disclosure obligations under the Securities Exchange Act of 1934, including annual and quarterly reports (10-K, 10-Q) and proxy disclosure

  • Advised clients on executive compensation disclosure and obligations of boards of directors under the federal securities laws

  • Prepared registration statements under the Securities Act of 1933  for companies undertaking initial public offerings

  • Assisted private placements of securities for early-stage companies seeking initial funding from angels, friends and venture capitalists

  • Represented public companies on restricted stock transfers, assisting transfer agents, shareholders and corporate secretaries
